KOL Cooperation Terms

These terms are applied to KOL Platform provided by XTrust (“this Company”, “Company”, “we”), including our website, mobile application and any other services provided by XTrust to access KOL Platform. You need to confirm that you accept these terms before applying to be a KOL. If you do not agree with these terms, you shall stop using KOL platform immediately.

1. Definition

1.1 Unless defined otherwise or further required by the context, all terms shall bear the meanings endowed to them in these Terms:

(a) “KOL Platform” is the website provided by XTrust with display name “XTrust Trends”;

(b) “KOL” means the platform user who applies to be a “KOL” in the Company in accordance with these Terms;

(c) “Commission” refers to the reward that KOL can earn after completing the event issued on KOL platform, and the form of reward is determined based on the specific event rules;

(d) “Third-party promotion channel” refers to the channels through which KOL share content or tasks on third-party social media, which include but not limited to: Twitter, Instagram, YouTube, Facebook, Medium, etc.;

(e) “Service Notice” is one-way notice by us via text message, email, etc. and the notice pushed via website if applicable;

(f) “Personal Center” is the function on KOL platform to edit personal information, view commission, receive platform service notices and publish video or graphic content;

(g) “Task Center” is the function on KOL platform to view the tasks issued by the corresponding platform, apply for tasks, and share tasks to the third-party promotion channels.

2. Eligibility for KOL Application

2.1 You must be at least 18 years old, having the capacity for civil conduct to access and use KOL platform and apply to become a KOL;

2.2 You must complete KYC on XTrust before applying to become a KOL.

2.3 You further confirm hereby that you are fully capable of signing the statements stipulated in the cooperation terms and abide by the terms;

2.4 When you apply to use KOL platform, you need to agree to KOL platform to obtain your personal information, provide complete and accurate information, and keep information updated;

2.5 The Company has the sole discretion to accept or reject your KOL application, and only users passing our review can successfully register as a KOL.

3. KOL Disqualification

3.1 If you violate laws, regulations or contents stipulated in this “Cooperation Terms”, KOL Platform has the right to cancel your KOL qualification, and you may not re-apply for KOL within 12 months from the date of cancellation.

4. Intellectual Property Rights

4.1 You need to promise that the work you published (including text, picture, audio, video, etc.) is original content. Reposting, citing, editing, and re-creation requires the authorization and consent of the originator, and there is no infringement of intellectual property rights involving a third-party.

4.2 If the work you published infringes the intellectual property rights of a third party, KOL platform may, depending on the severity of the case, remove the infringing content, cancel the commissions related to the work until terminate KOL cooperation qualification after confirmation.

4.3 If the work you published infringes the intellectual property rights of a third party, you shall be personally liable for compensation. If KOL platform suffers losses hereby or is claimed by the third party for compensation, KOL has the right to claim all losses from you.

5. KOL Rights

5.1 Accessible to Personal Center and Task Center function, you can receive and complete tasks according to your personal level.

5.2 Trackable data, including but not limited to: the number of invitees and views, forwarding, likes, comments, commission details, etc.

5.3 The work can be shared to other platforms synchronously.

6. Commission

6.1 You can earn commission after completing the tasks you received within the specified time. Commissions are issued in USDT or XTrust.

6.2 You can use commission freely for trading or withdrawal once it is reviewed and issued by KOL platform.

7. KOL Restrictions

7.1 You shall not publish horror, violence, obscene or vulgar content in your work.

7.2 You shall not publish content that insults, defames or maliciously attacks the third party in your work.

7.3 You shall not induce viewers to commit suicide or act in violation of laws and morals in your work.

7.4 You shall not infringe the intellectual property rights of the third party in your work.

7.5 You shall not use improper methods or means to steal others’ social accounts or create false data to defraud commissions.

7.6 Other behaviors that violate laws and regulations are prohibited.

7.7 If the Company finds that you have any violations or misconducts in the tasks you participated, the Company reserves all rights, including but not limited to removing the offending works immediately, suspending or terminating the cooperation with you and investigating your legal responsibility.

XTrust reserves the right of final interpretation for these Terms.
